1. Acceptance of Terms
By accessing or using the website and services provided by ViroSync ("we," "our," or "us"), located at 30 N Gould St Ste R, Sheridan, WY 82801, you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services.
2. Description of Services
ViroSync provides customer support and technical support services for SaaS businesses. Our services include, but are not limited to, live chat and email support, technical troubleshooting, helpdesk setup and optimization, knowledge base creation, and dedicated support team staffing. The specific scope of services will be defined in a separate service agreement between ViroSync and the client.
3. Eligibility
You must be at least 18 years old and have the legal authority to enter into a binding agreement to use our services. By using our services, you represent and warrant that you meet these requirements.
4. Account and Access
When engaging our services, you may be required to provide accurate and complete information about your business. You are responsible for maintaining the confidentiality of any account credentials or access details shared with our team. You agree to notify us immediately of any unauthorized use of your account or access.
5. Client Obligations
As a client, you agree to:
- Provide timely access to tools, platforms, and documentation needed for us to deliver services
- Communicate clearly regarding product changes, updates, and expectations
- Ensure that all data shared with ViroSync complies with applicable laws and regulations
- Not use our services for any unlawful, fraudulent, or harmful purpose
6. Payment Terms
Payment terms, including pricing, billing cycles, and payment methods, will be outlined in the applicable service agreement or proposal. Unless otherwise stated, all fees are due within 15 days of invoice date. Late payments may incur interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower.
7. Confidentiality
Both parties agree to treat confidential information shared during the engagement with the same degree of care as their own confidential information, and no less than a reasonable standard of care. Confidential information includes business processes, customer data, proprietary tools, and any information designated as confidential.
8. Intellectual Property
All intellectual property rights related to ViroSync's proprietary tools, methodologies, templates, and processes remain the exclusive property of ViroSync. Any materials, documentation, or workflows created specifically for a client during the engagement will be subject to the terms outlined in the applicable service agreement.
9. Service Level and Performance
ViroSync will use commercially reasonable efforts to deliver services in accordance with the agreed-upon service level agreements (SLAs). Specific SLAs, including response times, availability, and performance metrics, will be defined in the service agreement. We reserve the right to modify service processes to improve quality and efficiency.
10. Limitation of Liability
To the maximum extent permitted by applicable law, ViroSync shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunities, or goodwill, arising out of or in connection with these terms or the use of our services. Our total aggregate liability shall not exceed the total fees paid by you to ViroSync in the twelve (12) months preceding the claim.
11. Indemnification
You agree to indemnify, defend, and hold harmless ViroSync, its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising from your use of our services, violation of these terms, or infringement of any third-party rights.
12. Termination
Either party may terminate the service engagement by providing 30 days' written notice unless otherwise specified in the service agreement. ViroSync reserves the right to suspend or terminate services immediately if you breach these terms or fail to make timely payments. Upon termination, all outstanding fees become immediately due and payable.
13. Disclaimer of Warranties
Our services are provided on an "as is" and "as available" basis. ViroSync makes no warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not guarantee that our services will be uninterrupted, error-free, or meet your specific requirements beyond the agreed SLAs.
14. Governing Law and Dispute Resolution
These Terms of Service shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. Any disputes arising out of or relating to these terms shall first be attempted to be resolved through good-faith negotiation. If unresolved within 30 days, disputes shall be submitted to binding arbitration in Sheridan County, Wyoming.
15. Force Majeure
ViroSync shall not be liable for any delay or failure to perform its obligations under these terms due to circumstances beyond its reasonable control, including but not limited to natural disasters, acts of government, pandemic, internet outages, or third-party service failures.
16. Modifications
We reserve the right to modify these Terms of Service at any time. Changes will be effective upon posting to our website with a revised "Last updated" date. Your continued use of our services after any modifications constitutes acceptance of the updated terms. We will make reasonable efforts to notify active clients of material changes.
17. Severability
If any provision of these terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
18. Entire Agreement
These Terms of Service, together with any applicable service agreement and our Privacy Policy, constitute the entire agreement between you and ViroSync regarding the use of our services and supersede all prior or contemporaneous communications and proposals.
